These Terms & Conditions ("Terms") govern your access to and use of the ProVision Studio website located at provisionsolution.top (the "Site") and the services we provide, including audio and video equipment sales, equipment rentals, videography services, and podcast studio setup consultations (collectively, the "Services").

By accessing or using our Site and Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site or Services.

2. Acceptance of Terms

3. Services Overview

ProVision Studio provides the following services in Calgary, Canada and surrounding areas:

3.1 Equipment Sales

We sell new and used professional audio and video equipment, including cameras, microphones, lighting systems, and related accessories. All sales are subject to availability and the specific terms outlined at the time of purchase.

3.2 Equipment Rental

We offer flexible rental options for professional audio and video equipment. Rental terms, rates, duration, and conditions are specified in individual rental agreements. Equipment must be returned in the same condition as provided, subject to normal wear and tear.

3.3 Videography Services

We provide professional videography services for events, corporate projects, and content creation. Service scope, deliverables, timelines, and pricing are defined in individual service agreements.

3.4 Podcast Studio Setup

We offer consultation, equipment selection, and installation services for podcast studios. Services are customized based on client requirements and are subject to individual agreements.

4. Pricing and Payment

4.1 Pricing

All prices are displayed in Canadian Dollars (CAD) unless otherwise specified. Prices are subject to change without notice, but changes will not affect orders already confirmed. Applicable taxes will be added to the total amount due at checkout.

4.2 Payment Terms

Payment is required in advance for equipment purchases and rentals unless alternative arrangements have been agreed upon in writing. We accept the following payment methods:

• Credit cards (Visa, Mastercard, American Express)
• Debit cards
• Bank transfers
• Cash (for in-person transactions)

4.3 Deposits

Equipment rentals require a security deposit, which will be refunded upon return of equipment in satisfactory condition. The deposit amount varies based on the equipment rented and will be clearly communicated before the rental agreement is finalized.

4.4 Late Fees

For rental equipment not returned by the agreed return date, late fees will apply. Late fees are calculated per day and will be charged to the payment method on file. Continued failure to return equipment may result in additional charges and legal action.

5. Equipment Rental Terms

5.1 Rental Period

Rental periods are specified in the rental agreement. Equipment must be returned by the agreed date and time. Extensions may be available upon request and approval, subject to availability and additional fees.

5.2 Equipment Condition

All rental equipment is provided in good working condition. You are responsible for inspecting equipment upon receipt and reporting any defects or damage immediately. You agree to:

• Use equipment only for its intended purpose
• Handle equipment with reasonable care
• Not alter, modify, or repair equipment without authorization
• Return equipment in the same condition as received, accounting for normal wear and tear
• Pay for any damage, loss, or theft of equipment

5.3 Equipment Loss or Damage

You are responsible for all rental equipment from the time of pickup until properly returned. In the event of loss, theft, or damage beyond normal wear and tear, you will be charged the replacement or repair cost. We recommend obtaining appropriate insurance coverage for rental equipment.

5.4 Delivery and Pickup

Delivery and pickup services are available within Calgary and surrounding areas for an additional fee. Delivery fees are based on distance and equipment volume. Specific delivery terms will be outlined in the rental agreement.

6. Sales Terms

6.1 Product Availability

While we make every effort to ensure product availability, items displayed on our Site may not be in stock. We reserve the right to limit quantities, discontinue products, or refuse orders at our discretion.

6.2 Product Descriptions

We strive to provide accurate product descriptions, specifications, and images. However, we do not warrant that product descriptions, images, or other content on the Site are error-free, complete, or current. If a product is not as described, your remedy is limited to returning the product in accordance with our Refund Policy.

6.3 Title and Risk of Loss

Title and risk of loss for purchased equipment pass to you upon delivery. For pickup orders, title and risk of loss transfer upon your receipt of the equipment.

7. Service Agreements

For videography services and podcast studio setup projects, we will provide a detailed service agreement outlining:

• Scope of work and deliverables
• Project timeline and milestones
• Pricing and payment schedule
• Client responsibilities and requirements
• Revision policies and limitations
• Intellectual property rights
• Cancellation and rescheduling policies

Service agreements must be signed by both parties before work commences.

8. Intellectual Property

8.1 Site Content

All content on the Site, including text, graphics, logos, images, audio clips, video, data compilations, and software, is the property of ProVision Studio or its content suppliers and is protected by Canadian and international copyright laws. Unauthorized use of Site content is prohibited.

8.2 Videography Content

For videography services, intellectual property rights in the final deliverables are transferred to the client upon full payment, unless otherwise specified in the service agreement. ProVision Studio retains the right to use completed work for portfolio, marketing, and promotional purposes unless explicitly restricted in the service agreement.

8.3 Trademarks

ProVision Studio and related logos are trademarks of ProVision Studio. All other trademarks appearing on the Site are the property of their respective owners.

9. User Conduct

You agree not to:

• Use the Site or Services for any unlawful purpose
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Site or servers connected to the Site
• Attempt to gain unauthorized access to any portion of the Site or Services
• Use automated systems (bots, scrapers) to access the Site
• Transmit viruses, malware, or other harmful code
• Collect or harvest personal information about other users
• Use the Site to transmit spam or unsolicited communications

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• Your misuse of rental equipment
• Any content you submit or transmit through the Site

12. Warranty Disclaimer

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PROVISION STUDIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Site will be available at all times or free from errors
• Defects will be corrected
• The Site is free from viruses or harmful components
• Information on the Site is accurate, complete, or current

13. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by ProVision Studio. • You must return any rental equipment
• Outstanding payment obligations remain in effect
• Provisions of these Terms that by their nature should survive termination shall survive

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Site or Services shall be subject to the exclusive jurisdiction of the courts located in Calgary, Alberta, Canada.

17. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the parties agree to first attempt to resolve the dispute through good faith negotiation. If negotiation is unsuccessful, the parties may pursue mediation before resorting to litigation.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of ProVision Studio.

20. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and ProVision Studio regarding your use of the Site and Services, superseding any prior agreements.
